Noah Education Holdings Ltd. (Noah) is a holding company.

The Company is a provider of interactive education content in China. It develops and markets interactive, multimedia learning materials mainly to complement prescribed textbooks used in China’s primary and secondary school curriculum, covering subjects, such as English, Chinese, mathematics, physics, chemistry, biology, geography, political science and history. Noah’s electronic learning products (ELPs) include handheld digital learning devices (DLDs), handheld kids learning devices (KLDs) and E-dictionaries. In July 2009, the Company acquired Little New Star Education Group. During the fiscal year ended June 30, 2009 (fiscal 2009), it ceased the sale of prepaid cards.

The Company delivers its content primarily through DLDs, into which its content is embedded or subsequently downloaded at over 10,000 points of sale, approximately 2,000 download centers, or through its Website, www.noahedu.com. In August 2008, the Company introduced KLDs, digital learning devices for children from 5 to 9 years old, to the market. In addition, it sells E-dictionaries. The Company operates tutoring centers through a People's Republic of China domestic subsidiary, Shenzhen New Noah Education Investment Development Co. It also operates English training centers through a wholly foreign owned enterprise, Changsha Little Star Cartoon Digital Technology Ltd.

As of June 30, 2009, the Company had developed a collection of approximately 47,500 courseware titles, each corresponding to a chapter of a printed textbook or a topic covered by a textbook. It develops courseware titles based on standardized textbooks and other print-based content, which it licenses from domestic and international educational publishers, The Commercial Press, Foreign Language Teaching and Research Press, Beijing Language and Culture University Press, Shanghai Translation Publishing House, Shanghai Century Foreign Language Education Publishing House, Yilin Press, Shanghai Jiao Tong University Press, Shanghai Foreign Language Education Press, Jinan Xinghuo Memory Research Institute and Sanseido Co., Ltd.

As of June 30, 2009, Noah had developed approximately 47,500 multimedia courseware titles. All of its courseware titles are presented in multimedia and interactive form, combining texts, graphics, audios, visuals and animations. As of June 30, 2009, the Company had developed over 340 series of English language learning courseware, each based on a different series of textbooks. The Company has licensed and compiled over 250 dictionaries, including 26 dictionaries related to the English language, eight dictionaries related to Japanese language, 10 dictionaries related to other foreign languages and over 200 professional dictionaries on subjects, including medicine, law and engineering. The Company offers after-school tutoring programs to primary and secondary school students.

The Company competes with Guangdong Bubugao Electronic Industry Limited, Shanghai Ozing Digital Technology Limited, Global View Co., Ltd., Beijing No. 4 Middle School Net, Hubei Province Huanggang Middle School Net, Human Education & Technology Co., Ltd., Guangdong Dongtian Culture Enterprise Co., Ltd., Shanghai University ONLY Education Group, Global Kids English of Global Education & Technology Group, New Oriental Pop Kids English and Beijing Juren Education Group.
